Terms of Service

Prezense is an e-commerce platform operated by ThinkInCommerce Inc., a corporation incorporated under the Canada Business Corporations Act (Corporate Identity Number 1806400-8). “Prezense,” “we,” and “us” refer to that company.

These Terms cover your use of prezense.app and the Prezense platform (the “Service”). By using the Service, you agree to them. If you do not agree, do not use the Service.

The Service

Prezense gives merchants software to build and run an online store, including storefronts, orders, shipping, email, and AI agents. We may change, suspend, or discontinue any part of the Service at any time.

Accounts

Keep your account information accurate and your login secure. You are responsible for all activity under your account, and must tell us promptly if you believe it has been compromised.

Plans and billing

Plans, prices, and limits are listed on our pricing page. Paid plans apply per store, are billed monthly or yearly, and are processed by Stripe.

Your store

You are solely responsible for:

  • Your store’s content, products, pricing, and customer relationships
  • Complying with the laws that apply to you, including consumer, privacy, advertising, and email laws
  • The emails and other messages you send to your customers
  • Your carrier accounts, shipping labels, and fulfillment
  • Reviewing the work of AI agents you use, including changes they make to your store

Prezense provides software and infrastructure. We are not the merchant of record for your sales unless we agree otherwise in writing.

Acceptable use

You agree not to:

  • Use the Service for anything unlawful
  • Gain or attempt unauthorized access to the Service, its systems, or its data
  • Disrupt the Service or other users
  • Scrape or harvest data from the Service without our written permission
  • Reverse engineer or copy our software, branding, or content, except as the law allows
  • Submit false or harmful information
  • Send spam or abusive messages

Intellectual property

We or our licensors own the Service, including its design, software, text, logos, and branding. You may not copy, modify, distribute, sell, or create derivative works from it without our written permission, except as the law allows.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREZENSE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content, including content produced by AI agents, will be accurate or complete.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREZENSE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Where a jurisdiction does not allow these limits, our liability is limited as far as the law permits.

Indemnity

You agree to indemnify Prezense and its directors, officers, employees, and agents against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

Closing your store and termination

You may stop using the Service at any time. After you close a store, its data is deleted after 90 days, so export anything you need to keep before then.

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service.

Sections that by their nature should continue after termination will do so, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.

Changes to these Terms

We may update these Terms and will change the date at the top of this page when we do. Using the Service after an update means you accept the new Terms.

Governing law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the courts of Ontario, and you consent to their jurisdiction.
